Terms of Use

These Terms govern your access to and use of the JSTFYD platform and related services.

Welcome to JSTFYD. These Terms of Use (“Terms”) govern your access to and use of the JSTFYD platform, website, software, applications, integrations, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Overview of Services

JSTFYD provides software tools designed to assist contractors, restoration professionals, consultants, estimators, and related businesses with:

  • Estimate analysis and optimization
  • Comparative estimate review
  • Automated documentation and communication drafting
  • Insurance claim support workflows
  • Building code and standards reference assistance
  • Data organization and reporting
  • AI-assisted negotiation support

JSTFYD does not provide legal advice, public adjusting services, engineering services, or licensed professional opinions unless explicitly stated in a separate written agreement.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.

If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. User Accounts

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate and complete information
  • Maintain the security of your login credentials
  • Promptly update account information as needed
  • Accept responsibility for all activity occurring under your account

You are responsible for maintaining the confidentiality of your credentials and for restricting unauthorized access to your account.

4. Subscription & Billing

Certain portions of the Services may require paid subscriptions.

By purchasing a subscription, you agree:

  • To pay all applicable fees and taxes
  • That subscription fees may recur automatically unless canceled
  • That pricing and features may change upon reasonable notice
  • That JSTFYD may suspend or terminate access for nonpayment

Unless otherwise stated in writing:

  • All fees are non-refundable
  • No guarantees are made regarding financial outcomes or claim approvals
  • Subscription access is licensed, not sold

5. Acceptable Use

You agree not to:

  • Use the Services for unlawful, fraudulent, or deceptive purposes
  • Misrepresent claims, invoices, damages, or supporting documentation
  • Upload malicious code or attempt to disrupt the platform
  • Reverse engineer, copy, scrape, or exploit the Services without authorization
  • Use automated systems to overload or interfere with the platform
  • Violate any applicable laws, regulations, licensing requirements, or contractual obligations

JSTFYD reserves the right to suspend or terminate accounts engaging in prohibited conduct.

6. AI-Generated Content Disclaimer

The Services may generate AI-assisted outputs, including but not limited to:

  • Suggested estimate line items
  • Comparative analyses
  • Draft emails or negotiation responses
  • Code references
  • Regulatory citations
  • Pricing recommendations
  • Documentation summaries

These outputs are provided for informational and workflow assistance purposes only.

You acknowledge and agree that:

  • AI-generated outputs may contain inaccuracies or omissions
  • You are solely responsible for reviewing, validating, editing, and approving all outputs before use
  • JSTFYD does not guarantee that generated content is accurate, complete, compliant, or legally sufficient
  • Final decisions and submissions remain entirely your responsibility

JSTFYD is a decision-support platform and does not replace professional judgment.

7. No Legal, Engineering, Public Adjusting, or Professional Advice

Unless expressly agreed otherwise in writing, JSTFYD does not provide:

  • Legal advice
  • Public adjusting services
  • Engineering opinions
  • Construction design services
  • Tax advice
  • Insurance coverage determinations
  • Licensed professional services

References to building codes, standards, regulations, manufacturer specifications, or industry practices are informational only and should not be relied upon as a substitute for licensed professional review.

You are responsible for ensuring compliance with all applicable laws, codes, licensing requirements, insurance regulations, and contractual obligations within your jurisdiction.

8. User Content & Uploaded Materials

You retain ownership of the documents, estimates, emails, images, reports, and other materials you upload (“User Content”).

By uploading User Content, you grant JSTFYD a non-exclusive, worldwide license to:

  • Host
  • Process
  • Analyze
  • Store
  • Transmit
  • Improve platform functionality
  • Generate outputs related to the Services

solely for the purpose of operating and improving the Services.

You represent and warrant that:

  • You own or have permission to use the uploaded content
  • The content does not violate any laws or third-party rights
  • The content does not contain unlawful or fraudulent material

Users must be subscribed to respective industry standards materials in order to use this software. If user is unable to verify their ability to use the requested industry standards materials, they will be unable to use those portions of the software.

9. Confidentiality & Data Security

JSTFYD will use commercially reasonable measures to protect customer data. However, no system can guarantee absolute security.

You acknowledge that:

  • Electronic communications and cloud storage involve inherent risks
  • You are responsible for maintaining backups of critical data
  • JSTFYD is not liable for unauthorized access resulting from factors beyond reasonable control

Where applicable, JSTFYD may use third-party service providers, cloud infrastructure providers, AI providers, or integrations to deliver functionality.

10. Intellectual Property

All rights, title, and interest in the Services — including software, workflows, branding, algorithms, interfaces, designs, databases, documentation, and related intellectual property — are owned by JSTFYD or its licensors.

Except as expressly permitted, you may not:

  • Copy
  • Modify
  • Distribute
  • Resell
  • Lease
  • Reverse engineer
  • Create derivative works from the Services

Use of the Services does not transfer ownership of any JSTFYD intellectual property.

11. Third-Party Integrations & Software

The Services may integrate with third-party platforms, including email providers, estimating software, CRMs, cloud storage systems, or AI providers.

JSTFYD is not responsible for:

  • Third-party systems
  • Service interruptions
  • Data handling practices of third parties
  • Changes made by integrated platforms
  • Third-party security incidents

Your use of third-party services is subject to their respective terms and policies. JSTFYD is not a replacement for industry standards credentials or subscriptions, or other industry software (such as Xactimate) or comparable solutions.

12. Availability & Service Modifications

JSTFYD may:

  • Modify features or functionality
  • Add or remove integrations
  • Perform maintenance
  • Suspend access temporarily
  • Discontinue portions of the Services

without liability.

We do not guarantee uninterrupted or error-free operation.

13. Limitation of Liability

To the maximum extent permitted by law, JSTFYD and its affiliates, officers, employees, contractors, licensors, and partners shall not be liable for:

  • Indirect damages
  • Lost profits
  • Lost revenue
  • Lost claims
  • Business interruption
  • Loss of data
  • Consequential damages
  • Special or punitive damages

arising from or related to the Services.

In no event shall JSTFYD’s total liability exceed the amount paid by you to JSTFYD during the twelve (12) months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless JSTFYD and its affiliates from any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Your use of the Services
  • Your uploaded content
  • Your violation of these Terms
  • Your violation of laws or third-party rights
  • Any claims or submissions made using JSTFYD outputs

15. Termination

JSTFYD may suspend or terminate your access at any time if:

  • You violate these Terms
  • Your use presents legal, operational, or security risks
  • Required by law
  • Subscription payments fail

Upon termination:

  • Your license to use the Services immediately ends
  • Certain data may be deleted according to retention policies
  • Provisions intended to survive termination remain enforceable

16. Governing Law

These Terms shall be governed by and construed under the laws of the State of Colorado, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved in the courts located in Adams County, Colorado.

17. Arbitration

At JSTFYD’s election, disputes may be resolved through binding arbitration rather than court litigation, except for claims eligible for small claims court.

18. Changes to These Terms

JSTFYD may update these Terms periodically.

Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
